Welcome to TradeBase. By using our service, you agree to these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By accessing or using TradeBase, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our service.

2. Description of Service

TradeBase is a web-based invoicing, quoting, and job management application designed for tradespeople and contractors. Our service includes:

Creating and managing invoices and quotes
Client management
Job folder organization
Payment processing via Stripe
Optional AI-powered voice features (Talk to Work add-on)

3. Account Registration

To use TradeBase, you must:

Be at least 18 years of age
Provide accurate and complete registration information
Maintain the security of your account credentials
Accept responsibility for all activities under your account

4. Free Trial

New users receive a 14-day free trial with full access to TradeBase Core features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the service.

5. Subscription and Payment

TradeBase Core: $9.99/month or $99/year for access to all core features.

Lifetime Core Access: $149 one-time payment for permanent access to core features. Available during limited release windows.

Talk to Work AI Add-On: $9.99/month, billed separately from your core subscription. AI features are not included in lifetime plans.

All payments are processed securely through Stripe. Subscriptions automatically renew unless cancelled before the renewal date.

6. Referral Program

You may earn credits by referring new users to TradeBase:

Invite 4 friends who sign up = 60 free days bonus
Earn 20% recurring commission for life on referred subscribers

Referral abuse, including self-referrals or fake accounts, will result in forfeiture of rewards and possible account termination.

7. Acceptable Use

You agree not to:

Use the service for any illegal or unauthorized purpose
Violate any laws in your jurisdiction
Upload malicious code or attempt to compromise our systems
Impersonate another person or entity
Share your account with unauthorized users
Use the service to send spam or unsolicited communications

8. Your Data

You retain ownership of all data you upload to TradeBase. You grant us a license to store, process, and display your data as necessary to provide the service. You are responsible for maintaining backups of your important data.

9. AI Features

If you use our Talk to Work AI features:

Voice data is processed by third-party AI services (OpenAI)
AI-generated content should be reviewed for accuracy before use
We are not responsible for errors in AI-generated quotes or data
AI usage is subject to fair use limits

10. Intellectual Property

TradeBase and its original content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. The "Powered by TradeBase" footer on invoices may not be removed without a premium plan.

11. Limitation of Liability

TradeBase is provided "as is" without warranties of any kind. We are not liable for:

Any indirect, incidental, or consequential damages
Lost profits or data loss
Business interruption
Errors in AI-generated content
Third-party service outages (Stripe, Supabase, OpenAI)

Our total liability shall not exceed the amount you paid for the service in the past 12 months.

12. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months or unused time, except as required by law.

Lifetime plan purchases are non-refundable after 7 days.

13. Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms of Service. Upon termination, your right to use the service ceases immediately, and your data may be deleted after 30 days.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes via email or in-app notification. Continued use of the service after changes constitutes acceptance of the new terms.

15. Governing Law

These Terms are governed by the laws of the jurisdiction in which TradeBase operates, without regard to conflict of law principles.
